Terms of Service

1. Services

Quantilence provides face AI APIs for face similarity, face recognition, face detection, face liveness, and face anonymisation (collectively, "Services"), accessible via API and through live demos at quantilence.com. We may update, modify, or discontinue Services at any time with reasonable notice.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement. The Services are not directed at individuals under the age of 18, and we do not knowingly collect personal data from minors. If you become aware that a minor has provided us with personal data, please contact us at privacy@quantilence.com.

3. Account Registration

To access paid Services, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your API keys and account credentials
• Promptly notify us of any unauthorised access to your account
• Be responsible for all activity that occurs under your account

4. Acceptable Use

You must not use the Services to:

• Violate any applicable law or regulation, including biometric privacy laws (including but not limited to GDPR, Illinois BIPA, and California CCPA/CPRA)
• Process images of individuals without appropriate legal basis and, where required, their explicit consent
• Build systems for unlawful surveillance, tracking, or profiling of individuals
• Circumvent rate limits or access controls through any technical or non-technical means
• Reverse-engineer, decompile, or extract model weights or algorithms from our Services
• Introduce malware, excessive load, or otherwise disrupt the Services
• Resell or sublicense access to our APIs without prior written authorisation

5. API Usage and Rate Limits

Your plan determines the number of API requests permitted per month. Requests exceeding your plan limit will be rejected with HTTP 429. Unused requests do not roll over to the next billing period. We reserve the right to throttle or suspend access that appears to be abusive or anomalous regardless of plan limits.

6. Fees and Payment

Paid plans are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by applicable law or as expressly stated in your subscription agreement. You authorise us to charge your payment method on the billing date. Failure to pay may result in suspension or termination of your account.

7. Data and Privacy

Our handling of personal data, including images submitted through the API, is governed by our Privacy Policy. You are the data controller for any personal data you submit; we act as a data processor. You are responsible for complying with all applicable data protection laws, including obtaining required consents before submitting biometric data to the API. Enterprise customers may request a Data Processing Agreement (DPA) at legal@quantilence.com.

8. Intellectual Property

Quantilence and its licensors own all rights, title, and interest in the Services, including all models, algorithms, software, and documentation. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Services as permitted here. You retain ownership of any content you submit to the Services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR ACCURACY METRIC WILL BE ACHIEVED IN YOUR USE CASE.

10. Limitation of Liability

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

Subject to the above, and to the maximum extent permitted by law, Quantilence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with these Terms or your use of the Services, even if advised of the possibility of such damages. Our total aggregate liability to you for all other claims shall not exceed the amounts paid by you to us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Quantilence and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party right.

12. Termination

Either party may terminate your access to the Services at any time. We may suspend or terminate your account immediately for breach of these Terms, particularly Section 4 (Acceptable Use). Upon termination, all rights granted to you under these Terms will immediately cease.

13. Dispute Resolution

We aim to resolve any disputes quickly and informally. If you have a complaint, please contact us first at legal@quantilence.com. If we cannot resolve the matter within 30 days, either party may refer the dispute to the courts as set out in Section 14.

For EU consumers: the European Commission provides an Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr. Our contact for ODR purposes is legal@quantilence.com. We are not obligated to participate in ADR proceedings but will consider each case.

14. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. This does not affect any mandatory consumer rights you may have under the law of your country of residence.

15. Changes to These Terms

We may revise these Terms periodically. We will provide at least 30 days' notice of material changes via email or a prominent notice on our website before changes take effect. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Services before the effective date.
